EWA Slapped with a Class Action Lawsuit

It doesn't always work out that way w/corps and LLCs. Trust me.

Page 1:

This is why people form LLC, Incorporations, etc - to separate personal assets from say corporate debt/responsibilities. Ryans name shouldnt show up in page 1. ...........I personally was sued once, and the judge dismissed the case for this exact purpose. They got nothing.

The thing is...its easy to pierce the corporate veil of an LLC/Corp when certain things occur....like the directors treating the company accounts as a piggybank or charging personal items to the company. My bet is a smart lawyer could find a gazillion reasons why the LLC provisions would not apply in this case.
 
I just want to see all his toys get taken away. The toys he spent money on. Money that should have been going out to affiliates / being saved.

So are they personally responsible to pay back the debt?

I skimmed through the document, I only saw the $31k that was mentioned in this thread. Is that all this lawsuit is for?


They don't have to list everyone in a class action. Anyone else owed would need to contact that lawyer to get added. It could be a few clients or a few hundred, you never know..

Because I like watching scammers get what they deserve. Him specifically because he flaunted his wealth and all the stuff he was buying, whilst at the same time he wasn't paying what he owed to affiliates.

He will get fucked over if they determine he wasn't reasonably taking reserves for the future and creaming that money off the top from his company.

If everyone took the approach you're suggesting I take, nothing would ever get done or changed. A little kid getting run over by a car in the street doesn't impact me directly, but would that stop you from trying to stop it stepping into that road? These people whether they were idiots or not are owed money, and him taking money out of the company to buy his own personal stuff meant many more didn't get paid than could.

Probably not. People play the game the way it is setup and the way it is setup is that personal money is not company money.

The courts won't save people who did business with a badly run company.
 
I was in a similar situation several times simply due to the fact I blindly trusted the people that owed me would be on top of their payments but you just gotta go for the payment full on I guess.

I think it's sad how some people/companies let simple stuff like payments tarnish a relationship but it happens all the time.

I BET the guy could get the money if he actually took time and put some pressure on EWA. So yeah, it's EWAs fault but if that guy had cohones he'd also have the money and this whole situation would be nonexistent.

It all comes down to what he did and how the company was being run.

Primary things I can see EWA failing on:

- Maintain adequate capitalization of the business at all times
- Do not enter into contracts without the current ability to pay

He accepted new affiliates probably knowing full well that he probably couldn't pay them. Challenge there is proving it.

Likewise, if you can argue that his personal withdrawals from the company left the company inadequately capitalized, he could be personally liable too.
 
I'm guessing Ryan spent some of the commissions he owed on writing lessons.

Doesn't look like much of a baller to me. I mean, irrespective of how much money I make, he sure is comfortable, but a baller? Well, aren't we getting too bold with words?

I noticed that he loves calling himself "The man himself" for some reason.
He's lanky and he definitely doesn't get as much sex as he wants you to believe he does...unless ofcourse he's paying for it!

The philanthropy section on his blog just made me chuckle.
