I want to:
download a few clips,
splice them together,
replace the audio track with an mp3,
re-up them to yuotube or google video.

Any suggestions?

There is a Greasemonkey script that I've used a while back that will let you download any YouTube video as mp4. mp4 would alot easier to work with + you can edit directly in iMovie (wierd trick to do it) if you have a Mac.

Thanks all. Most of the free solutions weren't working for me. I knew about adobe but it seemed like a pain in the ass to get the program just for that simple thing.

I was worried about quality lost in converting to avi and then back to flv again.

I dont have a mac use that solution.

Im thinking it will be flash or Vegas.

(Free) Riva FLV encoder will convert it, but with quality loss.
For editing, use Windows Movie Maker, if you have it in your machine.

I use Sony Vegas Video 7 for all of my editing. Excellent program (free on ISOhunt if you're a cheap bastard).
LOL Everything is free on ISOHunt :D
That said, try to get a Demonoid invite if you can.
ISOHunt's trackers are under monitoring at the moment.
If you want one, I can give you one. I've got 3 left before I have to donate again.
